1. Parties
1.1 This Agreement is between Music Mint Ltd. (trading as themint.music) and the registered songwriter ("the Writer").
2. Song Submission
2.1 Works uploaded are split into up to five audio snippets for private subscriber listening and will not be publicly broadcast without an executed deal.
2.2 The Writer may withdraw any Work at any time prior to a deal being executed, with no penalty.
3. Copyright — Retained by Writer
3.1 The Writer retains full copyright ownership at all times. Music Mint acquires no copyright in any Work.
4. Publishing Rights
4.1 Upon a deal, the Writer grants Music Mint an exclusive publishing licence for five (5) years.
4.2 Music Mint may sell publishing rights to a Sub-Publisher with the Writer's written consent. The Writer receives a disclosed percentage of the sale.
4.3 At term end, all publishing rights revert to the Writer automatically.
5. Revenue Split
5.1 The Writer receives seventy percent (70%) of all net deal revenue. Music Mint retains 30%.
6. Indemnity
6.1 The Writer warrants that each Work is wholly original and does not infringe any third-party intellectual property rights.
6.2 The Writer shall fully indemnify Music Mint Ltd., its directors, employees, agents, and subscribers from all claims, damages, and costs arising from any plagiarism or infringement allegation, breach of warranties in 6.1, or misrepresentation of ownership.
6.3 Music Mint may suspend any Work upon a credible infringement claim. If upheld, the account may be terminated and payments withheld.
6.4 Music Mint accepts no liability for third-party copyright claims arising from submitted Works.
7. Governing Law
7.1 Writer's identity is confidential until a deal is executed. This Agreement is governed by the laws of England and Wales.
